Since joining MPI, Mr. Hassan has performed and managed a wide variety of client engagements, including public and private company security analyses and valuations for a variety of purposes. Mr. Hassan specializes in business valuations as well as valuations of intangible assets. The valuation work and analyses prepared by Mr. Hassan have been used specifically for the following purposes:

   • SFAS 141 purchase price allocations;
   • SFAS 142 adoption and annual impairment testing;
   • SFAS 144 impairment testing;
   • 409A and 123R cheap stock valuations;
   • 123R shared based compensation valuations;
   • Provide valuation support in estate and gift tax matters;
   • Settle tax disputes with the Government;
   • Effect corporate restructurings;
   • Purchase and sell companies;
   • Purchase and sell minority ownership interests;
   • Assist in the determination of the fairness, from a financial
      point of view, of tender offers and corporate acquisitions;
   • Create preferred stocks and debt securities;
   • Provide pricing for ESOP related transactions; and
   • Establish stock option plans.

Mr. Hassan has given speeches on business valuation. In addition, he has testified in United States Tax Court.

1998-2003: Fleet National Bank (and predecessor entities)

Served in an analytical capacity supporting NJ middle market commercial lending activities. Analyzed the financial performance and creditworthiness of middle market corporate borrowers, recommended and structured credit facilities and provided support for numerous ancillary commercial services offered by the bank, including merger and acquisition advisory, fairness opinions, interest rate and foreign-exchange derivative transactions, asset-backed lending transactions, private banking, asset management and estate planning transactions.
